Terms of Service

1. Acceptance of Terms

By accessing or using OrdrFlw, operated by Parikh Vision LLC ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the Platform.

2. Description of Service

OrdrFlw is a market data aggregation and analytics platform. We provide:

• Stock price data, RVOL, VWAP, and technical indicators
• Congressional and corporate insider stock disclosure tracking (from public government sources)
• Earnings calendar data
• Market event tracking (FOMC, CPI, NFP, etc.)
• Whale/unusual options activity detection
• Simulated paper-trade signal tracking
• Interactive charts powered by TradingView
• An AI chat assistant for stock research

We are NOT a broker-dealer, investment adviser, or financial planner. The Platform is a software tool that aggregates publicly available data. We do not recommend, endorse, or advise on any specific securities, investment strategies, or transactions.

3. Not Financial Advice

Nothing on this Platform constitutes financial advice, investment advice, trading advice, or any other sort of advice. All content is provided for informational and educational purposes only. You should not make any investment decision based solely on information provided by this Platform.

You should consult a qualified financial advisor, broker-dealer, or other professional before making investment decisions. Trading options and stocks involves substantial risk of loss, and you could lose more than your initial investment.

4. Simulated / Paper Trade Results

The Platform displays simulated ("paper") trade results generated by tracking real trade signals through a simulated account. These are NOT real money results.

• Simulated results have inherent limitations and do not involve financial risk
• No representation is made that any account will or is likely to achieve profits or losses similar to those shown
• Past performance, whether real or simulated, is not indicative of future results
• Simulated trading does not account for slippage, fills, market impact, or emotional factors that affect real trading

5. Third-Party Brokerage Integration (Pro Plan)

Pro users may optionally connect their own Alpaca brokerage account via encrypted API keys. When doing so:

• You are authorizing the Platform to submit orders to YOUR brokerage account on your behalf
• You maintain full control of your brokerage account and can disconnect at any time
• We are not responsible for trade execution, fills, partial fills, rejected orders, or any trading losses
• Your API keys are encrypted with AES-256 (Fernet) and are never stored in plain text
• We do not have access to withdraw funds from your account — API keys only allow trade execution
• By connecting your brokerage, you acknowledge all risks of automated trading and assume full responsibility for any outcomes

6. Data Sources and Accuracy

Market data is sourced from Alpaca Markets, NASDAQ, Yahoo Finance, the Federal Reserve, U.S. House of Representatives, U.S. Senate, and SEC EDGAR. We make reasonable efforts to provide accurate data, but:

• Data may be delayed, incomplete, or contain errors
• Market event dates marked as "estimated" are calculated from historical release patterns and may not match the actual release date
• Congressional and SEC filings are pulled from public government databases — we do not verify the accuracy of the underlying filings
• We are not liable for any decisions made based on inaccurate or delayed data

7. User Accounts

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your account credentials
• You may not share your account with others
• We reserve the right to suspend or terminate accounts that violate these terms

8. Subscription and Billing

The Platform offers paid subscription plans (Essentials and Pro Trader). By subscribing:

• You authorize recurring charges at the plan rate
• You may cancel anytime — access continues through the end of the billing period
• We offer a 7-day free trial for new users
• Prices may change with 30 days notice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDRFLW AND ITS CREATORS, OPERATORS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any trading losses, whether direct or indirect
• Any loss of profits, data, or business opportunities
• Any damages arising from reliance on data provided by the Platform
• Any damages arising from service interruptions, API failures, or data inaccuracies
• Any damages arising from unauthorized access to your account

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless OrdrFlw, its creators, operators, and affiliates from any claims, damages, losses, or expenses arising from your use of the Platform, your trading decisions, or your violation of these terms.

11. Intellectual Property

All content, code, design, and branding on the Platform is owned by OrdrFlw. You may not copy, redistribute, or reverse-engineer any part of the Platform without written permission.

12. Changes to Terms

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance of the new terms. We will notify users of material changes via email or in-app notification.

13. Governing Law

These terms shall be governed by the laws of the State of [YOUR STATE]. Any disputes shall be resolved in the courts of [YOUR STATE].
